Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Phaselo website and application (the “Service”), provided by Phaselo (“Phaselo”, “we”, “us”). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organisation, you agree on its behalf and confirm you have authority to do so.
1. The Service
Phaselo is a capital-project governance application for planning, costing and tracking projects and their budgets. We may add, change or remove features over time as the Service evolves.
2. Accounts and eligibility
You must provide accurate information, keep your login credentials secure, and you are responsible for activity under your account. You must be at least 16 years old and able to enter into a binding contract.
3. Subscriptions, trials and billing
- The Service is offered on a subscription basis at the price shown at sign-up (currently $8 per user per month), billed through our payment processor, Stripe.
- New organisations receive a free trial (currently 14 days). If you do not subscribe by the end of the trial, paid features become unavailable.
- Subscriptions renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period.
- Fees are charged in advance and, except where required by law, are non-refundable for partial periods. Charges adjust as you add or remove members (seats).
- We may change pricing on reasonable notice; changes apply from your next billing period.
4. Your data and content
You retain ownership of the data and content your organisation puts into the Service. You grant us a limited licence to host, process and display that content solely to provide and improve the Service. We do not sell your content. You are responsible for the lawfulness of the content you submit and for holding the rights to it.
5. Acceptable use
You agree not to:
- misuse, disrupt or place an unreasonable load on the Service;
- attempt to access another organisation’s data;
- reverse engineer or copy the Service except as permitted by law;
- use the Service to store or transmit unlawful content; or
- resell the Service without our written consent.
6. Availability
We aim to keep the Service available but do not guarantee uninterrupted access. We may suspend access for maintenance, security or non-payment.
7. Intellectual property
The Service, including its software, design and trademarks, is owned by Phaselo and its licensors. These Terms grant you no rights to our intellectual property other than the limited right to use the Service.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. Outputs such as forecasts, budgets and governance signals are tools to support your decisions, not professional financial, legal or accounting advice.
9. Limitation of liability
To the maximum extent permitted by law, Phaselo will not be liable for indirect, incidental, special or consequential damages, or loss of profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including under the Australian Consumer Law where it applies.
10. Indemnity
You agree to indemnify Phaselo against claims arising from your content or your misuse of the Service, to the extent permitted by law.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms or fail to pay. On termination your right to use the Service ends; we will make your data available for export for a reasonable period unless prohibited by law.
12. Governing law
These Terms are governed by the laws of Australia, and the courts of that jurisdiction have exclusive jurisdiction, without regard to conflict-of-laws rules.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and change the “last updated” date. Continued use of the Service after changes take effect means you accept them.
